Abstract

Agency Theory implemented on all kind of organization, business, non profit oriented organization, include cooperative organization that has the special value, principals and characteristics which different with the others organization. The relationship between member as an owner (principal) and management (cooperative board of director, manager and employ) indicated that there is conflict interest each others, because both of them there are different interest, for example: member as an owner need optimum services from. their cooperative organization to fulfill the economic activity with low price, on time delivery, simple procedure etc. But the behavior of cooperative management as an agent sometime is not the same with their contract, for example cooperative management like to make business decision unth. the non cooperative member, because they assume that business with non cooperative member more profitable. There are several solution to solve cooperative agency conflicts, but the most important is how to improve the member participation, member as an owner, like active on member meeting, always active to make decision making and controls to the management business activity, contribute the cooperative capital, and as an user the member must active to utilize cooperative service.
